DTB advises Sherif Group on the carve-out and sale of three biomass cogeneration power plants
DTB provided legal support to Šerif Group in projects involving the carve-out of its renewable energy business and its ensuing sale. By supporting the buyer and the whole process, Intercapital also made a significant contribution to the transaction.
The transaction represents an important strategic step for Šerif Group, which continues its long-standing successful development in its core business of wood processing, while the buyer, Ancala, further strengthens its position as one of the key investors in the region’s energy transition.
The transaction included three biomass cogeneration plants — Glina, Karlovac, and Brinje — with total installed capacity of 14.6 MW, which operated within Šerif Energetika. This transaction enabled Šerif Group to exit the energy business and further reinforced its strategic focus on its core business of wood processing, as one of the leading wood-processing systems and largest employers in the Sisak-Moslavina County.
The respective power plants represent a significant and long-term stable energy portfolio including electricity purchase agreements with HROTE and a developed biomass supply system sourced locally. Their acquisition will enable the new owner to further expand its renewable energy platform in Croatia.
